Common Ownership

GeoTech Environmental, Inc. and GeoTech Realty, Inc. are separate, independently licensed Florida corporations under common ownership. Both entities are wholly owned (100%) by Raksha Lakhlani.

Roles

Nilesh Lakhlani serves as Director of Operations of GeoTech Environmental, Inc. and as Qualifying Broker of GeoTech Realty, Inc. He holds no equity or ownership interest in either entity. GeoTech Environmental's Certificate of Authorization as a Florida-licensed professional engineering firm (CA #7396) is qualified by Irving Abcug, P.E., Vice President.

Operational Separation

Although affiliated, GeoTech Environmental and GeoTech Realty operate as separate businesses with distinct licensure and scope of work. Consistent with that separation:

• GeoTech Environmental does not perform an environmental assessment intended for lender reliance on any transaction in which GeoTech Realty is representing a party to that same transaction.
• Where both firms may reasonably be involved in a client's matter, that affiliation is disclosed to the client, and to any lender or third party expected to rely on GeoTech Environmental's work product, before either firm is engaged.

Third-Party Professionals

In the course of a client engagement, GeoTech may recommend attorneys, engineers, contractors, or other licensed professionals to assist the client. These recommendations reflect professionals GeoTech has worked with and trusts; however, GeoTech does not supervise, control, or assume responsibility or liability for their work product. Clients engage and compensate such professionals directly and should exercise their own independent judgment in selecting and relying on them.

Purpose of This Disclosure

This statement is provided so that clients, lenders, attorneys, and regulators have a clear and accurate understanding of the relationship between GeoTech Environmental, Inc. and GeoTech Realty, Inc., and of how that relationship is managed in practice.
